In this rapidly changing environment, organizations need to preserve their competitive position by committing to corporate governance practices and facilitating learning capabilities. This study aims to investigate the influence of corporate governance on competitive advantage through organizational learning at different Jordanian industrial companies listed on the Amman Stock Exchange. In order to evaluate the relationships, a questionnaire with 52 Likert scale items is designed based on previous studies. The questionnaire is distributed randomly to the top and middle managers working at Jordanian industrial companies registered on the Amman Stock Exchange. The collected data are analyzed using multiple linear regression tests along with Baron and Kenney’s approach to finding that all factors of corporate governance significantly impact competitive advantage and that organizational learning partially mediates the relationship between corporate governance and competitive advantage. The study can fill the literature gap by exploring the mediating impact of organizational learning on the relationship between corporate governance and competitive advantage.

This study explores the relationship between corporate governance traits and discretionary accruals among non-financial firms listed in NSE. Our study discovered that the board size has a relatively insignificant negative impact on the discretionary accruals of non-financial firms listed in the NSE using a sample of 44 publicly traded non-financial firms based on 2012-2021 data. The findings on board independence indicate a significant positive relationship at 10% significance. The results suggest that board independence doesn't reduce discretionary accruals in non-financial firms listed in NSE Kenya. The CEO duality, on the other hand, revealed a statistically positive insignificant effect on discretionary accruals, contrary to expectations. The research findings also pointed to income-decreasing accruals earnings management as depicted by a mean of -.083 discretionary accruals in the descriptive statistics. On the effects of board meetings on discretionary accruals, the study found an insignificant negative relationship. The findings of this study may be useful for regulators to re-evaluate their laws and mandates regarding firms and their corporate governance structure, as well as for legislators who have the power to nominate board members to select competent and knowledgeable personnel.

This paper plans to examine the effects of board size and financial leverage on the firm value measured as ROE and Tobin’s Q of DSE-listed manufacturing companies in Bangladesh ranging a period from 2010 to 2022. This research developed ordinary least square (OLS) and fixed effects model (FEM) to identify the hypothesized relationships. The paper finds that board size does not matter for firm value but the affinity between financial leverage and firm value is positive and statistically significant. Firm size and firm age are found with a perplexing role in enhancing the value of firms because they show negative affinity when the firm value is measured as ROE but the same associations become positive when the firm value is measured as Tobin’s Q. This paper adds to the emerging body of literature on board size-performance and leverage-performance relationship in the Bangladeshi context using a reasonably wider and newer data set.

The main purpose of the research is to determine the factors that influence agency costs in listed non-bank financial institutions of Bangladesh. The following eight factors have been considered in this study: board size, percentage of independent directors, and percentage of female directors under board characteristics; percentage of managerial ownership, institutional ownership, and foreign ownership under ownership structure; and leverage and firm size under firm characteristics. To measure agency costs, the asset utilization ratio (AUR) and expense ratio (ER) have been used as proxies. The regression results demonstrate that board size, institutional ownership and leverage are all inversely and significantly associated to agency costs, but managerial ownership has a significant and positive relationship. On the other hand, no significant relationship has been found among the percentage of independent directors, female directors and firm size with agency costs. However, the nature of the relationship between the percentage of foreign ownership and agency costs could not be generalized. The findings of this study will assist financial institution executives in Bangladesh in understanding the existing factors that influence agency costs and will help them in reducing agency costs by identifying and addressing the causes.

The purpose of this study is to investigate the effect of corporate governance mechanisms on the relationship between related party transactions and audit fees. In this study, board size and duality role of CEO were selected as corporate governance mechanisms and their effect on the relationship between related party transactions and audit fees among 93 companies listed on the Tehran Stock Exchange in the 10-year period of 2011-2020 were investigated. For this purpose, three hypotheses were formulated to investigate this issue and research regression models were tested using the panel data method with the fixed effects approach. The results showed that there is a positive and significant relationship between related party transactions and audit fees. The results also indicate that corporate governance mechanisms (board size, CEO duality) have a negative and significant effect on the relationship between related party transactions and audit fees. In fact, the results indicate that auditors are increasing their audit efforts (reflecting audit fees) to address the risk associated with related party transactions. It also minimizes conflicts of interest, opportunistic behaviors of managers and, consequently, the risk associated with related party transactions by applying appropriate regulatory mechanisms.

The aim of this study was to investigate the effect of internal factors of the company on the Tobin's Q ration and the value of companies admitted in Tehran Securities Exchange Stock Exchange with the approach of structural equation modeling. In this study the effect of corporate governance, capital structure and profit sharing policy as internal variables on corporate value was investigated. This research is practical in terms of goal. Statistical population of the present study is the companies accepted in the Tehran Stock Exchange between 2012 to 2016. Among them, 161 companies were selected as sample through systematic elimination. After finding to fit the acceptable model of measurement and structure of the research, the results showed that internal variables have a positive effect on the Tobin's Q ratio. Among the internal variables, the return-sharing policy has the most impact on the Tobin's Q ratio. The Tobin's Q ratio can mediate the relationship between local variables and the corporate value.

Recently, following financial crises in the global world, the focus of attention has been moved towards how a company is being managed. This study examined the effect of corporate governance on investment decisions of shareholders of listed banks in the Nigerian capital market from 2005 to 2015. The study adopted the secondary method of acquiring data which was sourced from financial statements of eight banks listed. Panel Regression Analysis was employed in the analysis of the data collected with the use of electronic views. The results revealed that there exists a positive and significant relationship between corporate governance (board size, board independence and audit committee independence) and investment decisions of shareholders. Consequently, it is recommended that to further provide effective corporate governance measures, strengthening of corporate governance and accounting standards in Nigeria would go a long way in promoting investors’ confidence and thereby create positive investing decision.

This paper investigates the relationship between the components of corporate governance structure including board characteristics, ownership structure, and financial leverage in the companies listed on Tehran Stock Exchange. The aim to this study is to examine the impact of board size, percent of non-executive directors, CEO-Chairman duality, percent of managerial ownership, institutional ownership, and governmental ownership on financial leverage of companies listed on Tehran Stock Exchange .In order to investigate research hypotheses, the data of 133 companies listed on Tehran Stock Exchange during the period of 2006 to 2014 has been investigated by implementing regression models based on panel data. In order to measure financial leverage, total debt ratio and the ratio of long-term debt to total assets were used. The results obtained from research indicate that there is a statistically significant and positive relationship between board size, the percentage of non-executive directors, and institutional ownership, CEO-Chairman duality and financial leverage; while, there is a significant and negative relationship between managerial ownership and financial leverage. Also, there is a significant and negative relation between long-term debt ratio and governmental ownership, while no significant relationship was found between total debt ratio and governmental ownership. Altogether, these findings prove the significant role of board characteristics and ownership structure on financing decisions made by firms.

In general, corporate governance (CG) includes legal, cultural, and institutional arrangements that will determine companies’ future direction and performance. The current research mainly tries to evaluate the impact of corporate governance system quality on the performance of the companies listed in Tehran Stock Exchange. In the current research, the quality of corporate governance system is considered as the independent variable to be able to examine its impact on the dependent variables including return on assets (ROA), return on equity (ROE), economic value added (EVA), and market value added (MVA). The research statistical population is composed of all of the companies listed in Tehran Stock Exchange within 2008 to 2014, and the sample size based on screening method and after the removal of outlier observations was obtained to be 112 firms. In the research, integrated data and also panel data with fixed and random effects were used. The results from the companies’ data analysis using multivariate regression at the confidence level of 95% shows that the quality of corporate governance system has a direct and positive impact on the dependent variables including ROA, ROE, EVA, and MVA.

The purpose of the study is to explore the relationship between ownership concentration and firm value in the Tehran Stock Exchange (TSE). The previous research indicates that ownership structure as an external corporate governance mechanism can influence firm value. In this study, the effect of the type of ownership on company assessment is examined along with level of cash holding. It is expected that firm value will increase as management ownership increases by reducing cash holdings. We also predict firm value is lower in companies with high cash holding and having ownership concentration. In the study, using financial statement information of companies listed on the TSE from 2004 to 2013, the relationship of this subject is addressed. The results of regression analysis in support of the hypothesis indicate firm value declines as ownership concentration increases when company’s cash holding mounts. On the whole, the results of the study shows that level of cash holdings which goes hand in hand with level of ownership concentration can reduce firm value.
